These Terms of Use (the “Terms”) are a legally binding agreement between Motojin Investment, Inc. (“Motojin,” “we,” “us,” or “our”) and the individual or entity that accesses or uses the WeDX Chat Ci service (“you” or “User”). By accessing or using any part of the WeDX Chat Ci website, application programming interfaces, widgets, or related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Service.

1. Definitions

• “Beta Service” means any version, feature, or functionality of the Service that Motojin designates as beta, preview, pilot, or evaluation.
• “Content” means any data, text, images, audio, video, or other materials generated, provided, uploaded, or otherwise made available through the Service.
• “Enterprise Trial” means the time‑limited, non‑production evaluation access to WeDX Chat Ci Enterprise Plan made available by Motojin at no charge.

2. Eligibility & Account Registration

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. You agree to provide accurate, complete, and up‑to‑date information during registration and to maintain the security of your account credentials.

3. License to Use the Service

Subject to your compliance with these Terms, Motojin grants you a limited, non‑exclusive, non‑transferable, revocable right to access and use the Service for your internal business purposes during the Enterprise Trial.

4. Beta Service & Enterprise Trial Disclaimer

The Service is provided as a Beta Service and Enterprise Trial. Features may be changed, suspended, or discontinued at any time without notice. Motojin is under no obligation to provide support, maintenance, uptime commitments, or future availability of any Beta Service. You acknowledge that Beta Services may contain bugs, errors, or other issues that could cause system failures, interruption, or data loss.

5. Service Availability & Maintenance

The Service may be unavailable from time to time for scheduled or emergency maintenance, updates, or other reasons. Motojin will make reasonable efforts to minimize disruption but makes no guarantee as to uptime or availability.

6. User Obligations & Acceptable Use

You agree not to:

1. Use the Service in violation of any applicable law or regulation, including U.S. export controls and sanctions laws.
2. Upload, transmit, or generate Content that is unlawful, harmful, defamatory, obscene, or infringes any third‑party rights.
3. Reverse engineer, decompile, or attempt to discover the source code or underlying algorithms of the Service.
4. Interfere with, disrupt, or compromise the integrity or security of the Service.
5. Use the Service to create, train, or improve other large‑scale language models or AI systems.

7. Intellectual Property

The Service and all related intellectual property are and will remain the exclusive property of Motojin and its licensors. All rights not expressly granted herein are reserved. You retain ownership of Content you submit to the Service. By submitting Content, you grant Motojin a worldwide, royalty‑free license to use, reproduce, display, and modify such Content solely for the purpose of providing and improving the Service.

8. Feedback

If you provide suggestions, comments, or other feedback regarding the Service, you grant Motojin a perpetual, irrevocable, royalty‑free right to use and incorporate such feedback without restriction or obligation to you.

9. Privacy

Our collection and use of personal information are described in the WeDX Chat Ci Privacy Policy, which is incorporated by reference into these Terms.

10. Third‑Party Content & Links

The Service may generate or display content sourced from third parties. Motojin does not endorse and is not responsible for third‑party content or websites.

11. Disclaimers of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, MOTOJIN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. MOTOJIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR‑FREE, SECURE, OR ACCURATE, OR THAT ANY CONTENT WILL BE RELIABLE OR COMPLETE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOTOJIN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, BUSINESS INTERRUPTION, LOSS OF DATA, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL MOTOJIN’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID (IF ANY) TO USE THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, WHICHEVER IS GREATER.

13. Indemnification

You will indemnify, defend, and hold harmless Motojin and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your: (a) Content; (b) use of, or activities in connection with, the Service; or (c) violation of these Terms.

14. Suspension & Termination

Motojin may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including your violation of these Terms. Upon termination, all licenses and rights granted to you hereunder will immediately cease.

15. Modifications to Terms or Service

Motojin may modify these Terms at any time. If we make material changes, we will provide notice (e.g., by email or through the Service). Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.

16. Governing Law; Venue; Dispute Resolution

These Terms and any dispute arising hereunder will be governed by and construed in accordance with the laws of the State of Hawaii and the United States, without regard to conflict‑of‑law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Honolulu County, Hawaii, and you hereby consent to personal jurisdiction and venue therein. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL.

17. Miscellaneous

• Entire Agreement. These Terms constitute the entire agreement between you and Motojin regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be deemed modified to the minimum extent necessary and the remaining provisions will remain in full force.
• Assignment. You may not assign or transfer these Terms without Motojin’s prior written consent. Motojin may freely assign these Terms.
• Waiver. Failure to enforce any provision will not constitute a waiver.
• Force Majeure. Motojin will not be liable for any failure to perform due to causes beyond its reasonable control.
